LLC Formation Services Agreement

This Agreement is entered into between HAVENCREST VENTURES LLC ("Company", "we", "our") and the customer ("Client", "you").

By purchasing this service, you acknowledge that you have read, understood, and agreed to all terms set forth in this Agreement.

The Company provides assistance with the registration of a United States Limited Liability Company (LLC).

The service may include:

• Registration of a U.S. LLC
• Registered Agent service for one year
• Virtual business address for one year
• EIN (Employer Identification Number) application
• Step-by-step guidance throughout the registration process
• Telegram support during the registration process
• Remote assistance through screen-sharing software when necessary

The Company assists the Client throughout the registration process but does not guarantee approval by any government authority or third-party provider.

The price of this service is displayed during the checkout process before payment.

In addition to the service fee, the Client is responsible for paying any required third-party registration expenses associated with establishing the U.S. LLC. These expenses may include:

• LLC Registration
• Registered Agent (1 year)
• Virtual Business Address (12 months)
• EIN (Employer Identification Number)

The exact amount of these third-party expenses may vary depending on the selected service providers and applicable government or administrative fees.

All third-party costs are paid solely for the purpose of completing the registration process and are separate from the Company's service fee. These payments are made directly to third-party providers or are used by the Company to purchase the required third-party services on the Client's behalf.

The Client agrees to:

• provide accurate personal information
• provide valid identification documents when requested
• provide proof of residential address if required
• cooperate during the registration process
• respond promptly to reasonable requests for information

The Client understands that inaccurate, incomplete, or misleading information may delay or prevent successful registration.

Some clients may be required to provide proof of their residential address. Acceptable documents may include:

• Lease Agreement
• Mortgage Agreement
• Home or Vehicle Insurance Policy
• Vehicle Registration
• Government-issued Residence Document

If the Client does not have an acceptable proof of address, the Company may, where legally appropriate, assist the Client in preparing a residential lease agreement for documentation purposes.

Registration is completed using third-party providers selected by the Company. The Company is not responsible for:

• processing delays
• government processing times
• decisions made by U.S. authorities
• delays caused by third-party providers
• any refusal by governmental authorities to approve or process the registration

All guides, templates, checklists, instructions, documents, videos, and other materials provided by the Company remain the exclusive intellectual property of HAVENCREST VENTURES LLC.

The Client receives access solely for personal use.

The Client may not copy, reproduce, distribute, publish, resell, or otherwise use any materials without the Company's prior written consent.

The Company does not provide:

• legal advice
• tax advice
• accounting services
• immigration advice

The Client is solely responsible for complying with the laws and tax regulations applicable in their country of residence.

Due to the nature of this service, work may begin immediately after payment is received.

If the Company has not yet begun providing the service, a refund may be issued solely at the Company's discretion.

The Company's total liability shall be limited to the amount actually paid by the Client for this service.

The Company shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of this service.

This Agreement shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

By purchasing this service and checking the acceptance box during checkout, the Client confirms that:

• they have read this Agreement
• they understand this Agreement
• they voluntarily agree to all terms
• this electronic acceptance has the same legal effect as a handwritten signature
• the electronic acceptance constitutes a legally binding agreement between the Client and HAVENCREST VENTURES LLC
